Job Skills, Qualifications and Experience Requirements:
•BCOM or LLB with Company Law or Corporate Commercial Law ESSENTIAL
•CIS qualification
•Minimum 2-3 years previous experience with a strong corporate commercial background
•Overall knowledge of Companies Act, King Code on Corporate Governance, listing requirements and associated statutes and/or regulatory framework
•Knowledge of agriculture and forestry industry
Company Secretarial Function:
•Manage all statutory reporting requirements for the Group and its subsidiaries
•Advising the Board/ relevant committees/EXCO with guidance as to their legal obligations, duties, responsibilities and powers
•Effective facilitation of Board Processes
•Facilitating and organising of shareholder, Board, Board committee and EXCO meetings
Key Performance Indicators:
•Maintaining accurate and updated statutory books, including registers of members, directors and secretaries
•Certifying in the annual financial statements that the company has lodged all relevant returns with the Registrar
•Timeously dealing with correspondence, collating information and writing reports, ensuring decisions made are communicated to the relevant Group stakeholders;
•Ensuring that a copy of the annual financial statements are sent to every person entitled to receive it
•Monitoring changes in relevant legislation and the regulatory environment and taking appropriate action
•Preparation of minutes
•Advising Board/EXCO/relevant committees of all laws and legislation relevant to the Group and the implications to the business
•Timeous preparation of notices, agendas and board packs for meetings and taking minutes of various meetings
•Ensuring that the minutes of the shareholders’ meetings, directors’ meetings and other meetings are correctly recorded and distributed timeously

Overseeing trademark and property registrations to ensure that the Group and its subsidiaries are suitably protected
Monitor Group leasing arrangements and land claims
Key Performance Indicators
•Develop and maintain Title Deed, Land Claims and Trademark records and action requests for title information, liaising with Lawyers and the Deeds/Patents office as required
•Maintain Group leasing register and monitor compliance with leasing arrangements
•Maintain Group Land Claims register and monitor development of claims
